ZUSEI PLATFORM TERMS OF SERVICE

1. Acceptance of Terms and General Provisions Welcome to the Zusei platform. This document serves as a legally binding agreement between you, the user (whether a Pioneer or a Vendor), and Zusei Private Limited, a technology corporation operating under the jurisdiction of the Republic of Singapore. By accessing the Zusei application, utilizing the Reality Map, executing a biometric login, or participating in the internal digital economy through Zusei Points, you explicitly agree to be bound by these Terms of Service. If you do not agree to every clause contained within this document, you must immediately cease all use of the platform. We reserve the right to modify these terms at our sole discretion. Any material changes will be communicated via the notification terminal within the application. Continued use of the platform following any modifications constitutes your formal acceptance of the updated terms.

2. Core Definitions To ensure absolute clarity throughout this legal agreement, the following terms are strictly defined. "Platform" refers to the entire Zusei ecosystem, including the mobile application, web application, merchant dashboard, and backend server architecture. "Pioneer" refers to a standard consumer user exploring the ecosystem. "Vendor" refers to a verified business, merchant, or event organizer utilizing the Vendor Command Center. "Zusei Points" or "ZP" refers to the internal digital utility unit used to facilitate transactions within the platform economy. "Phygital Handshake" refers to the cryptographic verification process occurring when a Pioneer scans their dynamic QR code at a physical venue. "Reality Map" refers to the dynamic, location-aware discovery interface used by Pioneers.

3. Account Registration and Biometric Security Accessing the core features of the Platform requires the creation of a registered account. You are strictly responsible for maintaining the confidentiality of your account credentials. The Platform utilizes advanced WebAuthn technology to bind your account directly to your specific mobile device hardware using biometric markers, such as FaceID or TouchID. By enabling this feature, you authorize the Platform to execute a cryptographic handshake with your device to verify your identity. You acknowledge that the Platform does not collect, store, or transmit your actual biometric imagery. The cryptographic key remains securely within the hardware enclave of your device. You are entirely responsible for all activities, transfers, and transactions that occur under your verified account. If you lose your registered device, you must immediately contact Zusei administration to initiate an emergency account freeze and device transfer protocol.

4. The Zusei Points (ZP) Economy and Transactions The Platform operates on an internal closed-loop economy utilizing Zusei Points. ZP is a digital utility token and does not constitute legal tender, equity, or a financial investment. A. Acquiring Value: Pioneers may purchase ZP through the integrated secure payment gateway provided by Stripe. You agree to provide accurate and authorized billing information. All direct purchases of ZP are final and non-refundable unless expressly mandated by Singapore consumer protection laws. B. Peer-to-Peer Transfers: The Platform allows verified Pioneers to transfer ZP to other users. You acknowledge that once a transfer is executed and the receiving account is credited, the transaction is irreversible. The Platform assumes no liability for points sent to the wrong username due to user error. C. Vendor Payouts: Vendors accumulate ZP through ticket sales and verified check-ins. The conversion of accumulated ZP back into standard fiat currency is subject to the specific commercial agreement established between the Vendor and Zusei Private Limited. Payouts are processed on a designated schedule and may be subject to platform service fees.

5. Vendor Command Center and Event Operations Vendors utilizing the dashboard to host events are bound by strict operational guidelines. A. Accurate Listings: Vendors must ensure that all event descriptions, operating hours, and ticketing tiers published via the Event Editor are entirely accurate. Misleading promotional material is strictly prohibited and constitutes grounds for immediate account suspension. B. Ticket Management: Vendors have the authority to establish multi-tier ticketing and mandate manual RSVP approvals. If a Vendor cancels an event prior to the scheduled start time, the Vendor is legally obligated to initiate a full ZP refund to all ticket holders. C. Targeted Retention (ZDrops): Vendors may utilize the ZDrop feature to send points directly to a Pioneer's digital wallet for service recovery or loyalty rewards. Vendors agree that ZDrops are issued from their own merchant reserve and cannot be reclaimed once the transaction successfully clears the internal ledger.

6. Event Verification and Physical Presence The fundamental value of the Platform relies on the integrity of the Proof of Presence protocol. A. Dynamic Authentication: Ticket passes are generated as dynamic cryptographic payloads that refresh every thirty seconds. Pioneers agree to present the live application interface at the venue door. The use of screenshots, screen recordings, or unauthorized third-party scanning tools to bypass the Phygital Handshake is explicitly forbidden. B. Scanning Equipment: Vendors agree to utilize the authorized in-app scanner to verify attendees. The Platform guarantees the mathematical accuracy of the scanning process. Attendance Records: By completing a check-in, the Pioneer grants the specific hosting Vendor the right to view their visitation history strictly relating to that specific venue.

7. Artificial Intelligence Concierge (Zakey) The Platform integrates a quantum processing engine to provide local recommendations through the Zakey persona. A. Usage Fees: Generating a structured itinerary requires a standard usage fee of 5 ZP, automatically deducted from the Pioneer's wallet. B. Automated Refunds: If the artificial intelligence engine experiences a critical failure or network timeout during the generation process, the Platform will automatically reverse the transaction and return the 5 ZP to the user's ledger. C. Liability for Recommendations: The AI generates itineraries based on available public data and merchant listings. Zusei Private Limited does not guarantee the quality, safety, or exact operating hours of the recommended venues. You assume all physical risks associated with traveling to and interacting with the suggested locations.

8. Privacy, Location Data, and Environmental Synchronization To deliver location-based utility, the Platform requires access to your physical coordinates. A. Active Consent: The Platform strictly adheres to an active consent model. GPS data is only requested when you actively open the Reality Map or trigger the Sonar Ping feature. B. Cryptographic Usage: Location data is utilized securely as a cryptographic key during the Phygital Handshake to verify that your coordinates match the venue location. C. Environmental Processing: Your location data is used to render real-time weather and daylight overlays on the interface. D. No Passive Surveillance: The Platform does not track your location in the background while the application is closed. Furthermore, vendor data is strictly compartmentalized. A merchant cannot view your interactions with competing venues. By using the Platform, you consent to the active processing of your location data as outlined in our comprehensive Privacy Policy.

9. Intellectual Property and Content Ownership All visual interfaces, three-dimensional digital wallet rendering physics, frontend and backend code, branding assets, and proprietary algorithms belong exclusively to Zusei Private Limited. A. User-Generated Content: When a Vendor uploads campaign artwork or a Pioneer creates a custom profile picture, you retain the primary rights to that specific image. However, you grant the Platform a global, royalty-free license to display, optimize, and distribute that media within the application. B. Prohibited Usage: You may not reverse engineer, decompile, or attempt to extract the source code of the Platform. You may not scrape the platform database for user information or venue analytics. Any unauthorized use of the Zusei intellectual property will result in immediate legal action.

10. Platform Abuse and Prohibited Conduct To maintain a secure and trustworthy ecosystem, all users must adhere to a strict code of conduct. You agree not to engage in any of the following activities: A. Utilizing automated scripts, bots, or emulators to farm Zusei Points or manipulate the geolocation verification protocols. B. Creating multiple fraudulent accounts to exploit introductory rewards or bypass venue capacity limits. C. Harassing other Pioneers, utilizing abusive language in peer-to-peer transfer notes, or threatening venue staff during the door verification process. D. Uploading explicit, illegal, or highly offensive visual media to the Event Editor or user profile interfaces. The Platform utilizes automated tracking and manual moderation to enforce these rules. We reserve the right to permanently terminate your account, freeze your wallet balance, and ban your device hardware from the network if we determine that you have violated these terms.

11. Disclaimers and Limitations of Liability The Platform is provided on an "as is" and "as available" basis. Zusei Private Limited makes no explicit or implied warranties regarding the uninterrupted operation of the application. A. Network Reliance: We do not guarantee that the service will be entirely free from latency, server downtime, or cellular network interruptions. You acknowledge that physical venue entry relies on functional mobile hardware and active internet connections. B. Third-Party Disputes: Zusei acts solely as the technological bridge between the consumer and the merchant. We are not legally responsible for the actual delivery of services at the physical venue. Any disputes regarding food quality, venue safety, or event cancellation must be resolved directly between the Pioneer and the specific Vendor. C. Liability Cap: To the maximum extent permitted by applicable law, the total liability of Zusei Private Limited for any claims arising from the use of the Platform shall not exceed the total amount of standard fiat currency you have paid directly to the Platform in the three months preceding the specific dispute.

12. Indemnification You agree to indemnify, defend, and hold harmless Zusei Private Limited, its executive officers, engineers, and affiliated partners from any legal claims, financial damages, regulatory liabilities, or legal expenses arising directly from your misuse of the Platform. If you are a Vendor, this indemnification explicitly covers any claims filed by attendees regarding physical injury, property damage, or distress experienced while attending an event managed through your Vendor Command Center. You bear absolute legal responsibility for the physical operations of your business.

13. Stripe Payment Gateway and Financial Data Zusei utilizes Stripe to process all incoming fiat transactions. By initiating a wallet recharge, you explicitly agree to the standard terms of service established by Stripe. Zusei Private Limited does not process or store raw credit card numbers on its proprietary servers. All financial data is tokenized securely via the Stripe application programming interface. We assume no liability for transactions that fail due to bank denials, insufficient funds, or automated fraud alerts triggered by your personal banking institution. If a dispute or chargeback is filed with your bank after Zusei Points have been successfully delivered and spent on the platform, we reserve the right to pursue debt collection and permanently suspend your account.

14. Document Generation and Reporting The Platform provides specialized tools allowing users and vendors to export their internal ledgers and analytics into official PDF formats. While we ensure the mathematical accuracy of the data rendered within the application, you are solely responsible for how you utilize these exported documents. Zusei Private Limited does not provide accounting, tax, or legal advice. You must verify all export data with your own corporate accounting department before submitting it to government tax authorities.

15. Social Networking and Footprint Matching The Platform includes optional social networking features, including Footprint Matches that connect individuals with similar venue attendance histories. By actively opting into these social features, you acknowledge that portions of your verified history will be utilized by the algorithm to generate connections. You are entirely responsible for the interactions you have with other Pioneers. Zusei Private Limited does not conduct background checks on its users and assumes no liability for any physical or digital interactions that result from utilizing the platform's social network.

16. Term and Termination This agreement remains fully effective as long as you access the application or hold an active registered account. You may terminate this agreement at any time by deleting your account through the user settings and removing the application from your device. Upon account deletion, any remaining Zusei Points in your digital wallet will be permanently forfeited. Zusei Private Limited reserves the right to terminate this agreement and deny access to the Platform at any time, without prior notice, if we suspect fraudulent activity or a breach of these specific terms.

17. Dispute Resolution and Governing Law Any legal dispute, controversy, or claim arising out of or relating to this agreement shall be governed strictly by the laws of the Republic of Singapore. By utilizing the Platform, you explicitly consent to the exclusive jurisdiction of the state and federal courts located within Singapore. Before initiating any formal legal proceedings, you agree to contact the Zusei support team in a good faith effort to resolve the dispute through informal mediation. If a resolution cannot be reached within sixty days of the initial notice, formal legal action may be pursued.

18. Force Majeure The Platform shall not be held liable for any failure or delay in performing its obligations under these terms where such failure results from circumstances beyond our reasonable control. These circumstances include natural disasters, acts of government, global pandemics, widespread cellular network outages, major power grid failures, or malicious cyberattacks targeting the global payment infrastructure.

19. Severability and Waiver If any specific clause or provision within these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that specific provision shall be strictly limited or eliminated to the minimum extent necessary so that the remaining provisions of this agreement shall remain in full force and effect. The failure of Zusei Private Limited to enforce any specific right or provision of these terms shall not be construed as a waiver of future enforcement of that right or provision.

20. Entire Agreement These Terms of Service, combined with the official Privacy Policy and any supplemental rules published within the application, constitute the entire legal agreement between you and Zusei Private Limited regarding your use of the Platform. This document completely supersedes any prior verbal agreements, promotional statements, or preliminary marketing materials.

21. Advanced Ticketing Protocols and Refund Policies The Platform facilitates complex multi-tier ticketing through the Vendor Command Center. All purchases made by Pioneers using Zusei Points are executed instantly on the internal ledger. Zusei Private Limited operates strictly as a technology provider and does not hold the funds in escrow. A. Event Postponement: If a Vendor modifies the timeline of a recurring event or reschedules a single campaign, the Vendor is solely responsible for communicating these changes to the ticket holders. The Platform will automatically update the Reality Map and user itineraries, but the financial liability for refunds rests entirely on the Vendor. B. Denial of Entry: A Vendor retains the right to deny physical entry to any Pioneer who violates the venue's stated dress code, safety guidelines, or behavioral standards, even if the Pioneer presents a cryptographically valid ticket pass. In such scenarios, the resolution of the spent Zusei Points must be handled directly between the Pioneer and the Vendor's management team. The Platform will not arbitrate disputes regarding discretionary door denials. C. System Overrides: Vendors possess the administrative capacity to manually override the camera scanner and process a check-in via the Guest Dossier. By executing a manual override, the Vendor assumes full responsibility for verifying the identity of the guest. The Platform will process the attendance record and deploy the associated rewards exactly as if a physical scan occurred.

22. Hardware Requirements and Compatibility The Zusei ecosystem is optimized for modern mobile devices equipped with functional cameras, active global positioning hardware, and secure biometric enclaves. A. Minimum Specifications: You acknowledge that utilizing older hardware or outdated mobile browsers may result in degraded performance. The three-dimensional physics engine powering the digital hardware wallet relies heavily on internal device gyroscopes. If your device lacks this hardware, the interface will default to a static rendering. B. Network Connections: The dynamic QR payload generation requires an active data connection to synchronize with the global server timestamp. If you attempt to access an event in an area with poor cellular reception, you must load the ticket modal prior to losing connectivity. The Platform is not responsible for entry delays caused by local network dead zones. C. Hardware Damage: The Platform utilizes device haptic feedback engines to provide tactile alerts during the scanning and payment processes. Zusei Private Limited is not liable for any degradation or failure of your physical device hardware resulting from standard application usage.

23. Communication and Notification Terminals By registering an account, you consent to receive critical operational communications from the Platform. A. In-App Notifications: The Platform utilizes a sliding notification terminal to deliver updates regarding successful transfers, AI usage fee refunds, and targeted ZDrops from merchants. You are responsible for reviewing these alerts. B. Administrative Overrides: The Platform reserves the right to deploy urgent marquee messages across the Reality Map to inform all users of critical system maintenance, security patches, or emergency city-wide alerts. C. Marketing Preferences: You maintain the right to opt out of non-essential promotional communications via your profile settings. However, you cannot opt out of transactional receipts or security alerts pertaining strictly to your account integrity.

24. AI Data Processing and Liability Limitation The Zakey AI concierge is an advanced tool designed to interpret natural language. A. Transcription Accuracy: The voice dictation engine utilizes standard speech-to-text protocols. The Platform does not guarantee absolute accuracy in transcribing complex regional dialects or heavy background noise. You are responsible for reviewing the text input before submitting the query to the quantum engine. B. Curation Bias: The AI engine filters recommendations based on spatial proximity and verified node availability. It does not intentionally favor any specific Vendor unless explicitly commanded by your search parameters. C. Temporary Data Retention: The conversational context submitted to the AI is held temporarily to generate the itinerary and is subsequently purged from the active processing cache. It is not permanently attached to your public social footprint.

25. Special Provisions for Merchants and Vendors Vendors operating on the Zusei network are bound by additional commercial constraints. A. Tax Compliance: Vendors are solely responsible for calculating, collecting, and remitting all applicable sales taxes, value-added taxes, or entertainment taxes required by the Singapore government or their local jurisdiction. The Platform's analytics dashboard provides raw transaction data, but it is not a substitute for professional tax software. B. Independent Contractors: The relationship between a Vendor and Zusei Private Limited is that of independent contractors. This agreement does not create a partnership, joint venture, or employment relationship. C. Platform Fees: Zusei Private Limited reserves the right to alter the commission structure or service fees applied to Vendor payouts. Any adjustments to the financial structure will be communicated with a minimum of thirty days written notice.

26. Accessibility and Modification of the Interface Zusei Private Limited strives to make the Platform accessible to a diverse user base. A. Environmental Theme Switching: The interface includes native controls allowing users and vendors to toggle between high-contrast light modes and specialized dark modes to accommodate varying visual needs and physical operating environments. You acknowledge that these aesthetic modifications do not alter the underlying functionality of the Platform. B. Interface Updates: The visual layout, color schemes, and navigational structures of the application are subject to continuous iteration. We reserve the right to deploy interface updates without prior warning. You agree that temporary disorientation resulting from a reorganized dashboard or an updated Reality Map does not constitute a breach of service.

27. Account Transferability and Estate Planning Zusei Points and digital ticket inventory hold specific value within the local economy. A. Non-Transferable Assets: Unless explicitly executed through the authorized peer-to-peer transfer module, your account and its associated assets are strictly non-transferable. You may not sell, trade, or auction your registered account credentials to a third party. B. Account Dormancy: If an account remains completely inactive for a period exceeding twenty-four consecutive months, Zusei Private Limited reserves the right to classify the account as dormant. We may initiate a protocol to reclaim unused Zusei Points from dormant accounts to maintain the economic stability of the internal ledger. C. Legal Succession: In the event of a user passing away, the transfer of any significant Zusei Point balances to a designated legal heir will be handled on a case-by-case basis. The claimant must provide official legal documentation, including a death certificate and a court-certified will, to the Zusei administration team before any manual ledger adjustments are executed.

28. Final Acknowledgment You acknowledge that you have read this agreement in its entirety, understand all of its terms, and agree to be bound by its conditions. You recognize that this Terms of Service agreement establishes significant legal obligations and fundamentally governs your interaction with the digital and physical elements of the Zusei ecosystem.
